1. INTRODUCTION

1.1 Retrocart Fresh Grocers India Private Limited (“Company”) is a private limited company engaged in the business of operating a phygital commerce platform that enables the sale and distribution of products through a combination of digital channels (website and mobile application) and offline community pop-up markets.

1.2 As used in these Terms, “we”, “us”, “our”, and “Company” refer to Retrocart Fresh Grocers India Private Limited, and “you” refers to any individual user, customer, or participant accessing the Platform or availing the Services.

1.3 You have accessed or approached the Company to avail the services offered through the Platform (“Services”), and the Company, subject to your acceptance of these Terms, agrees to provide such Services as may be requested or accessed by you from time to time.

1.4 You and the Company are hereinafter individually referred to as a “Party” and collectively as the “Parties.”

1.5 These terms and conditions (“Terms”) govern the contractual relationship between the Parties and regulate the access to and use of the Services made available on or through the Company’s website, mobile application, digital interfaces, payment mechanisms, and community pop-up markets (collectively, the “Platform”).

1.6 These Terms shall be read together with the Company’s Privacy Policy, Cancellation & Refund Policy, Return & Exchange Policy, and any additional guidelines, notices, or policies issued by the Company from time to time (“Supplemental Terms”).

1.7 You represent and warrant that you are legally competent to enter into these Terms under applicable Indian law.

1.8 The Company may provide translations of these Terms. In case of any discrepancy, the English version shall prevail.

2. COMMENCEMENT AND DURATION

2.1 These Terms shall become effective and legally binding upon you accessing the Platform, placing an order, or clicking “I Agree”, whichever is earlier.

2.2 These Terms shall remain in full force and effect unless terminated by you or the Company in accordance with the termination provisions set out herein.

2.3 The Company may use the email address or mobile number provided by you as the primary mode of communication. You are responsible for ensuring such contact details remain accurate and accessible.

2.4 You are responsible for maintaining the confidentiality of your account credentials. The Company shall not be liable for any loss arising from unauthorized access resulting from your failure to secure your account.

3. SERVICES

3.1 Scope of Services

  • Community Pop-Up Markets for sale of fresh fruits, vegetables, and select categories within gated communities;
  • Try-and-Buy Apparel Services, including home or community-based trials with same-visit return collection;
  • Online Ordering & Fulfilment Services through the Company’s website or mobile application;
  • Seasonal, Ready-to-Cook, and Limited-Availability Products, subject to stock and operational feasibility.

3.2 The availability, scope, and manner of providing the Services may vary based on location, category, logistics feasibility, and operational constraints.

3.3 The Company reserves the right to modify, suspend, or discontinue any Service or category at its discretion, without prior notice.

3.4 You agree not to misuse, reproduce, resell, or commercially exploit any part of the Platform or Services without prior written consent of the Company.
